      <image:caption>Last week, I, Jonathan, had the opportunity to attend a great twitter Real Estate conference in Los Angeles. I got to meet investors from all over the country and in almost every asset class. I even got to meet some passive investors and one involved in one of our deals. It was just so cool to meet people I had interacted with online for so long. It opened my eyes to how to think of our business, potential collaborations, and what other asset classes have to offer. It was just an all-around good time talking about all this real estate stuff that we love.   It's Ok to have more than one We have been struggling to find anything that makes sense in multi-family. During the conference, Chris Powers explained his pivot from multi five years ago. He saw the same thing with B class multi in DFW and started looking at B class industrial. Things started taking off for them when they began putting offers on industrial. Things took off so much that they completely stopped going after multi and became an industrial shop strictly. They currently own and manage now $587 million, primarily in industrial in Texas. We are at the point where we need to determine if we should transition into something else or if we should stick with apartments. Hearing what Chris went through and learning about the firm's incredible success, I feel we owe ourselves to explore what else might be out there for us. Thus, some other asset classes we are studying are storage and industrial.  At the same time, we are sure to collaborate with others to make sure we are successful at it. Suppose we decide to go down one of those routes. If one takes off, we will focus on that and pour gas on it, full speed ahead. It's ok to explore, but we will be focused and become true professionals at whatever we do, including apartments.   The Abundance Mentality I am speaking of abundance in two ways. First, there are plenty of deals to go around for everyone, and two, sharing that knowledge with others has more upsides than downsides. Some people may think putting out too much information about how you do things will breed competition. Though there is some truth to that, in reality, it may attract passive investors by giving them an inside look, and it could also allow people to bring you deals. If everyone knows what you're looking for, the higher probability that you will get in front of potential deals. This is a big reason why I'm active on Twitter and write our blogs. Collaboration   We are all working hard in our respective ventures. Sometimes it does make sense to team up to take down deals we alone wouldn't otherwise be able to tackle. Maybe someone has more access to deals and another more access to capital. It could just be a specific skill set and experience.  I had tons of conversations at a conference where I felt I could see some future partners. If not, at the very least, they can be people I could bounce ideas off of. I also think that everyone has varying degrees of luck if combined can push growth. There is a lot of power in combining everyone's strengths/luck for tremendous success. So many ways to slice and dice the deals The conference opened my eyes to many ways to structure your business. The way you structure your business has a lot to do with personality, asset class, or market. That there is no wrong or right way to do it. For example, some people want to grow huge companies and others just want do a handful of good deals a year. Your strategy will depend on your firms' goals and potential investors. Everyone has varying degrees of risk tolerance and return metrics. Ultimately the results from the conference gave me a renewed sense of clarity, energy, and drive to grow. I believe some of these relationships will help us grow to new levels we wouldn't have otherwise. First, it was just so much freakin' fun. And, it provided me with a mindset shift on how I look at things. It also validated what I thought already. Finally, it reinforced the need to identify a niche that will allow doubling down and focus.  Ultimately how we can best achieve attractive risk-adjusted returns for us and our investors.</image:caption>

      <image:caption>We have recently been reminded about the power of being focused on limited markets. We’ve always known that since before we were just focused in LA. Our competitive advantage continues to grow as we get to know the OKC market that much better. Now that our first asset there has been seasoned for more than 6 months, we feel that much more confident in the market. In this blog post, we will go over why being focused on specific markets is important. Good, Bad, or ok neighborhoods One of the most important reasons to focus on limited markets is to get to know the neighborhoods in the city. Every city has its good, bad, ok, or transitioning neighborhoods. Being able to understand the nuances from one side of the freeway to the other can be such a powerful tool. If you know you are in the path of progress in the city you can push a little more because you know in the long run that specific pocket will appreciate well. The only way you can figure these things out is by spending enough time in the market. Also looking at many deals in the different submarkets. This will usually take at least a year and many trips to figure it out. We also rely on partners on the ground to help us understand these subtleties. Then obviously as we own more properties in the different submarkets, we will understand those intimately that much more. Since we are investing from out of state, we want to focus on C+ or higher neighborhoods. So, understanding this is important and allows us to more accurately forecast the outcome of the investment. Financial Assumptions As we become better informed and own more in a market, we can make more accurate financial assumptions. The three main areas would be rents, expenses ratios, and construction costs. As we evaluate more property and own more property in specific markets we will become more intimately attuned to rents and expenses. For example, one big line item is insurance. So now that we worked in OKC for some time and have got many quotes, we can quite accurately assume a cost per door for insurance. As we work with more vendors, we can be more accurate with the cost of certain kinds of improvement items. As we base these estimates on work that was done on other projects we have done in that area. Additionally, as you do more projects contractors will not only give you better pricing but prioritize your work more. When we are competing on properties, we can comfortably tighten up these numbers and be one of the most competitive buyers. Brokers We highly value the relationships we have with brokers. As they see we are being more active in the market and eventually do deals with them, the higher likelihood you will be the first one to find out about new deals the brokers have. That can only happen by being focused on the market and the broker feeling your competent and will close. Also having a better knowledge of areas allows for a more robust and interesting conversation with the brokers. Also, if you are traveling regularly to the same market then you can physically meet with the brokers and create a better repour. Ultimately most of our deals come from brokers so this extremely important part of our business. Owners  We do some reaching out to owners especially to the ones that own next to us. Again, having a better knowledge of the area will make it easier to foster relationships with them. Not to mention getting to know your neighbors can be important because they give more insight on the specific pocket and what may be some things you need to watch out for. As we build these relationships the higher likelihood, they are of calling us first if they ever want to sell. They can even potentially be future partners. Or help out with a difficult situation you are having on your property if they have dealt with it before. Getting to know some of the owners in the area can be an important tool. We are now in a highly competitive market in the multi-family space. We need any competitive advantage we can muster. Getting to know limited markets and different faucets about them will greatly improve the likelihood of your assumptions coming true. That allows you to tighten up your assumptions and be one of the top competitive buyers. Ultimately you will begin to see some opportunities that others will not by being this entuned.</image:caption>

      <image:title>Blog - Syndications 101 - Learn How Syndications Work and Get Paid</image:title>
      <image:caption>In general, most people we speak with understand what a syndication is. But, for those less familiar, let's still start with that definition. Syndication is run by a professional investor (General Partner-GP) who finds property to acquire, then puts together both debt and equity (down payment, CAPEX, closing cost, etc.) from others (LP-limited Partner). In our case, we usually put in some of our funds as well. In exchange for this effort, the GP gets a piece of the pie.   The Syndication Setup  Here Syndication Generally Works: Syndicator(GP) finds a property that hits the return metrics. They are the winning bidders that put the deal under contract The due diligence process begins GP Selects the appropriate financing option GP Sets up LLC and PPM(Private Placement Memorandum) documentation from the attorney GP Approaches possible investors to fund the equity piece in exchange for ownership in the LLC. Assuming everything goes smoothly with the transaction and the raise, the syndicator closes the deal. The syndicator then manages the asset and distributes the profits/tax benefits accordingly. Then GP manages the exit from the property or refinance to hold longer-term How the LP-Limited Partner Gets Paid: Usually, investors will get 60-80% of the profits. For example, if you put a quarter of the cash in 80 (LP) -20 (Syndicator) deal, you get 25% x 80% = 20% of the profits or that amount of paper losses from accelerated depreciation. Additionally, you may find a preferred return between 6 - 9% a year on money invested on some deals. Essentially the LP will get paid first their 6 - 9 % return guaranteed. If there is not enough return to cover the preferred return; a catch-up would occur in the following years. Usually, when you see a preferred return, you will get a smaller ownership percentage for that guarantee. Your split can change when specific return metrics are hit, or money is returned through a refinance or sale. This is most commonly described as a waterfall.  How the Syndicator (GP- General Partner) Gets Paid: Acquisition Fee: For everything that goes into identifying, negotiating, financing, and managing the escrow. This tends to be 1-2 % of the purchase price. Asset Management Fee: This is for overseeing the management company that does the day-to-day with weekly calls and monthly financial reviews. This also covers other tasks such as renewing insurance, managing larger CAPEX projects, and LP relations. This tends to be 1 - 2% of gross income. Refi Financing Fee: You will sometimes see GP's charging a fee for accommodating the work that goes into doing a refinance. That tends to be about 1%. Though here at JB2, we don't usually charge that. Profit Share: Then the GP will receive their profit share for the sweat equity. Profit share is usually is 20-40% depending on the deal.  Ultimately, there are many ways that syndications can be structured. What we have shared here are just some of the more common ways we see syndications structured. Here at JB2, we usually do an 80/20 split, 1 - 2 % acquisition fee, 1 - 2% asset management fee, and ownership split change at refinance as long as we are hitting a certain minimum return for our investors. This how we found to keep us the most aligned with our investors and be able to hold long-term. You also have some GP’s that raise a fund to invest in a portfolio of buildings. The downside is that you have less control because you will not be able to analyze deal by deal.  The upside would be you could diversify over more deals. However, you can manually do that by just investing in a few deals instead of everything in one. The goal of these structures is the alignment of incentives of the GP/LP for the common good. We always put the best of our investors before our own. We understand what it takes to create that capital. Though for example, the acquisition/asset management fees mainly go to the cost of running the business. The idea is for this to be a symbiotic relationship where all win and prosper. In that light, all will grow tremendously and harmoniously.</image:caption>

      <image:caption>We’ve learned throughout our real estate careers that there are always good deals to be found if you look hard enough. The real estate market is competitive; therefore, we are continually searching for creative ways to beat the competition. In this blog, we will outline what we are currently doing to find deals: Finding the Best Real Estate Investment Deals  1. Talk to brokers and property managers to find the best real estate deals  This is the most common way to acquire properties as brokers and property managers directly contact sellers. We have built a solid team on the ground in Oklahoma City (OKC). Brokers are sending us deals weekly, and our on-site managers are analyzing the deals with us. It helps to have people on the ground that manage buildings throughout OKC, as they can give us first-hand insights into what’s happening in each rental sub-sector.  2. Hire a company that specializes in real estate acquisitions We have hired a company that focuses exclusively on real estate acquisitions. Through many years of experience, they have built systems and scripts to directly connect with sellers and entice them to do business with us directly. We like this about them because 100% of their business is acquisitions, and they are compensated primarily on their performance. This structure is great because the more deals they find, the better it is for them and our investors, and the better it is for JB2. These firms help us with acquisition support. We also spend our time on other aspects of the business, such as asset management, connecting with our investors, visiting our properties, etc. We love working with brokers, as they can bring tremendous value. And, this avenue provides one more way to identify new deals. 3. Reach out to the owners of neighboring buildings that we already own  This is a practice that has worked for us in flipping and multifamily. We reach out as a friendly gesture to our neighbors in case they need anything. We also connect to gauge if they are interested in selling or will be interested in selling in the future. On our last trip to OKC, we met our neighbor, and he gave us a tour of his property. This was great because in the event he decides to sell, we have already gotten the tour and can make a quick decision if we need to, beating out the competition.  4. Reach out to sellers directly to discuss real estate opportunities We have also been reaching out to sellers via phone calls, texts, and old-fashioned snail mail. This can often be the most direct way to deal, as there wouldn’t be anyone in the middle taking a cut. Though in this situation, we would still have our respective attorneys handle the paperwork. This worked well for us in the flip business, and we have gotten some traction with it in the multifamily sector. The Real Estate Opportunities are Out There To conclude, there is a lot of opportunities out there. It’s just a matter of staying consistent in our search to find a deal that checks all the boxes.
